Terms of Service

These Terms of Service ("Terms") govern your access to and use of the F5IP website, platform, and related services (collectively, the "Services") operated by F5 IP Solutions OÜ, a company registered in the Republic of Estonia ("F5 IP Solutions", "we", "us", or "our"). By creating an account, accessing the Services, or submitting an order, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" will refer to both the individual user and the organization.

1. Services Overview

Our platform enables registered users to manage intellectual property (IP) portfolios online, request renewal pricing in real time, submit renewal instructions, assemble multiple matters in a shopping cart, complete checkout using Stripe, and monitor order status. To fulfil renewal mandates, we transmit the information you submit to the competent national or regional IP offices, or to vetted third-party IP agents who assist with the filing and maintenance process in the relevant jurisdiction.

We commit to filing IP renewal official fees with the relevant IP office or agent within the official deadlines and providing official receipts. However, due to force majeure circumstances beyond our control—including but not limited to war, natural disasters, official system delays or interruptions, or other extraordinary events—we do not guarantee successful renewal completion after submission to the IP office.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of entering into legally binding contracts to use the Services. Accurate, current, and complete registration information is required. You are responsible for safeguarding your login credentials and for all actions taken under your account. Notify us immediately if you suspect unauthorized use or a security breach.

3. Intellectual Property Data Submission

You are solely responsible for the completeness and accuracy of the IP data, supporting documents, and billing details you provide. You confirm that you have the authority to share any third-party personal or proprietary data contained in your submissions. We rely on your input to calculate renewal pricing and to prepare filings. Inaccurate or incomplete submissions may lead to delayed processing, additional costs, or cancellation of an order.

4. Quotes, Pricing, and Taxes

Renewal pricing displayed on the platform is based on the information you provide at the time of the request. Quotes are estimates until we have validated the underlying data with the relevant IP office or agent. Government fees, professional charges, courier expenses, and applicable taxes may change without notice. You are responsible for all taxes, duties, and levies associated with your orders. We may update the payable amount before final submission if new information affects the quote.

5. Orders, Checkout, and Payment Authorization

Orders are placed by moving one or more IP matters into the shopping cart, confirming billing details, and completing payment authorization via Stripe. When you submit an order, you authorize a payment hold for the quoted amount. This is a pre-authorization, not an immediate charge. We will review your submission to verify the information and conduct preliminary checks for obvious errors, completeness, and fraud prevention. Once we accept the order and confirm that the submission meets our requirements, we will capture the authorized payment, at which point your order is confirmed and binding. If we identify issues during our review or if we decline the order, the pre-authorization will be released, and you will not be charged.

We do not store payment credentials or maintain recurring billing arrangements; each renewal must be initiated and paid for individually. All payments must be made in the currency displayed during checkout. Your use of Stripe's services is subject to the Stripe Services Agreement, which may be updated by Stripe from time to time.

6. Order Review, Acceptance, and Cancellations

Upon receiving your order submission, we will conduct an initial review to verify the accuracy and completeness of the information provided and to screen for potential fraud or compliance issues. We may contact you if any submission requires clarification or supporting evidence. We reserve the right to decline or cancel an order before payment capture when deadlines are imminent, regulatory requirements are unmet, information appears fraudulent or inaccurate, or other risk factors are identified.

If we decline your order before capturing payment, the pre-authorization hold will be released automatically, typically within 5 to 10 business days depending on your card issuer. No charge will be made to your account. Once we accept your order and capture the authorized payment, the order contract is established and becomes confirmed and binding.

Cancellation Before Payment Capture: Before we review, accept your order, and capture payment from your account, you may cancel your order from the order details page, which will automatically release the pre-authorization hold.

Waiver of 14-Day Withdrawal Right: Due to the time-sensitive nature of IP renewal services, once the order contract is established (after we have accepted your order and captured payment), you expressly waive your statutory 14-day right of withdrawal (right to cancel without reason) that would otherwise apply under consumer protection laws. This waiver is necessary because we must immediately commence work on your renewal to meet official deadlines.

Refunds After Order Confirmation: After an order is confirmed and payment is captured, cancellations and refunds are subject to the following conditions: If cancellation occurs before we file renewal instructions with an IP office or agent, we may issue a refund minus any non-refundable costs already incurred, such as government surcharges or third-party agent fees. Once renewal instructions are filed with an IP office or agent, refunds are generally unavailable.

Refunds, when approved, will be made to the original mode of payment and will be processed within 10 to 45 days, depending on the issuing bank of the credit card and Stripe's processing time. While we initiate approved refunds promptly, the actual credit to your account depends on your payment provider's policies and processing schedule.

7. User Responsibilities

  • Maintain accurate contact, billing, and portfolio information within your account.
  • Provide complete and accurate IP case data, supporting documents, and instructions for each renewal request.
  • Monitor renewal deadlines and confirm instructions in sufficient time for us to act.
  • Submit renewal instructions no later than one week before the official deadline, and preferably one month in advance, to avoid surcharges or renewal failures.
  • Comply with all applicable laws, sanctions, and export controls in the jurisdictions where you operate.
  • Refrain from using the Services for unlawful purposes, spamming, or security breaches.

8. Use of Third Parties and Cross-Border Processing

To complete renewals, we may share the data you submit with IP offices, official gazettes, postal and courier providers, and trusted third-party IP agents located inside or outside the European Economic Area. You acknowledge that laws governing IP renewals differ by jurisdiction and that the processing of personal data in other countries may be necessary to perform the Services. We contractually require our partners to protect personal data to standards consistent with applicable law.

9. Platform Content and Intellectual Property

The Services, including the underlying software, user interface, and all related materials, are owned or licensed by F5 IP Solutions and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use the Services for your internal business purposes. You may not copy, modify, reverse engineer, sell, or resell any part of the Services without our prior written consent.

10. Data Protection and Privacy

Our handling of personal data is described in our Privacy Policy. By using the Services, you acknowledge that we will process personal data in accordance with that policy, including transferring information to third parties and jurisdictions necessary to fulfil your renewal instructions.

11. Service Availability and Platform Updates

We strive to maintain continuous availability of the platform but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Each renewal order is a separate, one-time transaction; once we have successfully filed your renewal instructions with the relevant IP office or agent and the renewal is confirmed, our service obligations for that specific order are complete. We may update, modify, or discontinue platform features at any time to improve performance, comply with legal obligations, or address security risks. Such changes will not affect orders that have already been confirmed and processed.

12. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will meet your requirements, be error-free, or ensure successful renewal outcomes. You remain responsible for your overall IP portfolio strategy and legal compliance.

13. Limitation of Liability

To the maximum extent allowed by law, F5 IP Solutions and our personnel are not responsible for losses that are:

  • Indirect, incidental, consequential, special, or punitive in nature.
  • Losses of profits, revenue, business opportunities, goodwill, or data.
  • Caused by factors outside our reasonable control, including actions of IP offices or other force majeure events such as natural disasters, strikes, war or civil unrest, government restrictions, or failures of telecommunications and payment networks.

When a refund is approved, we will first deduct any non-refundable costs we have already incurred—such as government or official fees paid to IP offices and charges from third-party agents—and return the remainder to you.

In all cases, our total liability under these Terms will not exceed the fees you paid to us for the specific Services that gave rise to the claim during the twelve (12) months before the issue occurred.

14. Indemnification

You agree to indemnify and hold harmless F5 IP Solutions, its affiliates, and their respective officers, directors, and employees from any losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your infringement of any third-party rights.

15. Term and Termination

These Terms remain in effect while you access the Services. We may suspend or terminate your account at any time if you violate these Terms, fail to pay fees when due, or create risks for other users or third parties. You may terminate your account by contacting us in writing; outstanding fees and obligations will survive termination until satisfied.

16. Changes to These Terms

We may update these Terms to reflect changes in our Services, legal requirements, or business practices. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia, excluding its conflict of law rules. The courts of Estonia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to mandatory consumer protections that may apply in your country of residence.
